GENOMIC LIFE TERMS OF USE

These Terms of Use ("Terms") are entered into by and between you and Genomic Life, Inc. (collectively, "Genomic Life," "we," "our" or "us") and govern your access to and use of this website and the Genomic Life platform (collectively the "Platform"), including any content, functionality, and services offered on or through the Platform.
Please read these Terms carefully. By using the Platform, or by clicking to accept or agree to these Terms when this option is made available to you, you accept and agree to be bound and abide by these Terms. If you do not agree to these Terms, you cannot use the Platform.
SECTION 22 OF THESE TERMS CONTAINS A MANDATORY ARBITRATION PROVISION THAT REQUIRES THE USE OF ARBITRATION ON AN INDIVIDUAL BASIS TO RESOLVE DISPUTES. THIS MEANS THAT YOU AND GENOMIC LIFE ARE EACH GIVING UP RIGHTS TO SUE EACH OTHER IN COURT OR IN CLASS ACTIONS OF ANY KIND.

2. Changes to These Terms; Availability of Platform Services
We may revise and update these Terms from time to time in our sole discretion. Any changes to these Terms are effective upon posting to the Platform, and your continued use after a change has been posted constitutes your acceptance of the changes unless applicable law requires us to provide additional notice or take other actions before such changes can become effective. We encourage you to review these Terms regularly to determine if any changes have been made. Genomic Life further retains the right to modify or discontinue any and all offerings, at the Company's discretion.
3. GENOMIC LIFE DOES NOT PROVIDE MEDICAL ADVICE; GENOMIC LIFE IS NOT INSURANCE
THE INFORMATION AND OTHER CONTENT AVAILABLE ON OR THROUGH THE PLATFORM IS FOR INFORMATIONAL PURPOSES ONLY AND IS NOT INTENDED TO SUBSTITUTE PROFESSIONAL MEDICAL ADVICE, DIAGNOSIS OR TREATMENT. YOU SHOULD ALWAYS CONSULT WITH YOUR HEALTHCARE PROVIDER REGARDING QUESTIONS YOU HAVE ABOUT ANY MEDICAL CONDITION BEFORE MAKING HEALTHCARE DECISIONS. "PROVIDER" MEANS AN INDEPENDENT LICENSED CLINICIAN OR PROFESSIONAL ENTITY THAT PROVIDES CLINICAL SERVICES TO YOU.
GENOMIC LIFE IS NOT AN INSURANCE COMPANY. THE PLATFORM DOES NOT PAY OR REIMBURSE TREATMENT COSTS OF ANY KIND, NOR DOES IT PROVIDE MEDICAL TREATMENT, ISSUE REFERRALS, OR WRITE PRESCRIPTIONS. ACCESS TO SOME SERVICES IS DEPENDENT ON A CURRENT OR PREVIOUS CANCER DIAGNOSIS OR OTHER DIAGNOSIS OR TEST RESULT.
4. Reliance on Information Posted
We do not warrant the accuracy, completeness, or usefulness of this information. Any reliance you place on such information is strictly at your own risk. We disclaim all liability and responsibility arising from any reliance placed on such materials by you or any other visitor to the Platform, or by anyone who may be informed of any of its contents.
5. Communication Preferences; Electronic Notices and Signatures
By creating an account, you consent to receive electronic communications from Genomic Life (e.g., via email to the email address you provide, text message (SMS) to a mobile phone number you provide, or by posting notices to the Platform). These communications may include operational notices about your account (e.g., password changes and other transactional information) and are part of your relationship with us. You may incur data, call-time or messaging charges from your communication providers in connection with communications from Genomic Life. We may also send you promotional communications via email or other means, including newsletters, special offers, surveys, and other news and information we think will be of interest to you. You may opt out of receiving these promotional emails at any time by following the unsubscribe instructions provided in such emails.
You agree that any notices, agreements, disclosures, or other communications that we send to you electronically will satisfy any legal communication requirements, including that such communications be in writing, and you consent and agree that your use of your finger, a keypad, mouse, or other device to select an item, button, icon, or similar act while using the Platform, or in accessing or making any transactions regarding any agreement, acknowledgment, consent, terms, disclosures, or conditions, constitutes your signature, acceptance, and agreement as if actually signed by you in writing. You should maintain copies of electronic communications from us by printing a paper copy, saving an electronic copy, or both. Further, you agree that no certification authority or other third-party verification is necessary to establish the validity of your electronic signature, and that the lack of such certification or third-party verification will not affect the enforceability of your signature or any resulting contract between you and us.
6. Changes to the Platform
We may update the content on the Platform from time to time, but its content is not necessarily complete or current. Any of the material on the Platform may be out of date at any given time, and we are under no obligation to update such material.
7. Ownership of the Platform
The Platform and all propriety information of Genomic Life that exists in the provision of the Platform is the exclusive property of Genomic Life or its content suppliers and is protected under applicable copyright, patent, trademark, and other proprietary rights. No right, title, or interest in or to the Platform is transferred to you, and all rights not expressly granted are reserved by the Company. Any use of the Platform not expressly permitted by these Terms is a breach of these Terms and may violate copyright, trademark, and other laws.
8. Trademarks
The Genomic Life name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Genomic Life or its affiliates or licensors. Unless you are an employer client or subcontractor of Genomic Life and have otherwise agreed to different terms with us pertaining to Trademarks, you must not use such marks without our prior written permission. All other names, logos, product and service names, designs, and slogans on the Platform are the trademarks of their respective owners.
9. Your Use of the Platform
These Terms permit you to access and use the Platform for your personal, non-commercial use only. You agree not to (a) reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, store, transmit, or reverse-engineer the Platform or any of Genomic Life's proprietary material from our Platform, (b) use materials, products or services available on the Platform in violation of any law, (c) impersonate or attempt to impersonate Genomic Life, any Genomic Life employee or any other person or entity (including, without limitation, by using email addresses associated with Genomic Life), or (d) engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Platform, or which, as determined in our sole discretion, may harm Genomic Life or other users of the Platform or expose them to liability.
Additionally, you agree not to, or permit or direct any other person to:

Use the Platform in any manner that could disable, overburden, damage, or impair the Platform or interfere with any other user's use of the Platform.

Use any robot, spider, or other automatic device, process, or means to access the Platform for any purpose, including monitoring or copying any of the material on the Platform.

Use any manual process to monitor or copy any of the material on the Platform, or for any other purpose not expressly authorized in these Terms, without our prior written consent.

Use any device, software, or routine that interferes with the proper working of the Platform.

Introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful on the Platform.

Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Platform, the server on which the Platform is stored, or any server, computer, or database connected to the Platform.

Attack the Platform via a denial-of-service attack or a distributed denial-of-service attack.

Send unauthorized advertising, promotional materials, junk mail, spam, or any form of duplicative or unsolicited messages on the Platform. Such unauthorized messages shall not include messaging you engage in as part of engaging in Services offered via the Platform and our staff.

Attempt to gain unauthorized access to the Services.

Misrepresent your identity or affiliation with any person, specifically including any individual on the Platform.

Harass or interfere with another user's use of the Services.

Do any act that would be illegal, give rise to liability or otherwise violate any applicable law or this Agreement on the Platform.

Upload or transmit any communication or content of any type on the Platform that infringes or violates any right of any party, or that is known to you to be false or misleading.

Post or transmit material on the Platform that is or could be unlawful, obscene, defamatory, threatening, harassing, abusive, slanderous, false, misleading, hateful or embarrassing to any other person.

Otherwise attempt to interfere with the proper working of the Platform.
If you print, copy, modify, or otherwise use or provide any other person with access to any part of the Platform or otherwise engaged in conduct in breach of these Terms, your right to use the Platform will stop immediately and you must, at our option, return or destroy any copies of the materials you have made. For the avoidance of doubt this section is not meant to otherwise restrict or prohibit providing another person or person(s) with access to the Platform as part of a Gift Membership, as detailed in our Gift Membership Terms, below, or access granted as part of the Employer-Offered Benefit Membership.
You further acknowledge and agree that you are responsible for providing and maintaining, at your own option and expense, appropriate technical capabilities to use the Platform and any Services. You are solely responsible for any fees, including Internet connection or mobile fees, that you incur when accessing the Platform.
Genomic Life is free to use any information submitted to or through the Platform in violation of the above for any legally permissible purpose and in any manner whatsoever and reserves the right to monitor general use of the Platform at any time as it deems appropriate. Genomic Life may fully cooperate with any law enforcement authority or court order related to use of the Services.
10. Account Creation
When you create a member account with us, you confirm that you are 18 years old or older, and that the information you provide us is accurate, complete, and current at all times. Inaccurate, incomplete, or obsolete information may result in the immediate termination of your account.
You are responsible for maintaining the confidentiality of your account and password, including but not limited to the restriction of access to your computer and/or account. You agree to accept responsibility for any and all activities or actions that occur under your account and/or password, whether your password is with our Platform or a third-party service. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account. We strongly recommend you use Genomic Life's Multifactor Authentication (MFA) to keep your account confidential and private.
We reserve the right to refuse service, terminate accounts, remove or edit content, or cancel orders in our sole discretion.
11. Memberships
We offer several different Service offerings (the "Programs), to which you may be enrolled directly or through a third-party entity such as your employer (each, a "Membership"). You understand that, in all Programs, availability of certain tests may be subject to a clinical determination of appropriateness.
Employer-Offered Benefit Membership
When you have a Membership made available to you by your employer (an "Employer-Offered Benefit Membership"), coverage under the Program begins when your employer determines your eligibility, and terminates upon one of the following events:

Upon your employer's cancelation of the Program; or
-
Upon your dropping medical coverage and waiving COBRA coverage; or
-
Upon the end date of your employment and waiving COBRA; or
-
Upon the end of eligibility for you; and
-
For spouses (and/or domestic partners) when your coverage ends
When coverage by your employer ends, all Employer-Offered Benefit Memberships will terminate at the end of the calendar month following the qualifying event (i.e., the last day of the month your employment ends) and you will no longer be eligible to continue with the Program unless you have chosen to reactivate your Employer-Offered Benefit Membership with us and establish a Direct Membership (defined below). If you have an Employer-Offered Benefit Membership, any fee changes will be set forth in the Master Services Agreement/Scope of Work.
Direct Membership
The Genomic Life membership uses the power of your DNA to reveal your personal health risks—and provides one-on-one support to help you stay healthy. If a serious illness like cancer still strikes, you can access dedicated support to help you receive timely, quality care.
When you purchase a Membership (a "Direct Membership"), coverage under the program begins when payment is made. Genomic Life may offer the option of annual billing frequencies for Direct Memberships. Certain Direct Membership benefits and offerings may be subject to conditions, such as eligibility or clinical appropriateness to you, among other variations. You understand that our offerings are subject to change and clinical discretion.
If you are eligible to purchase and/or participate in a Direct Membership, you may be asked to supply certain individual data necessary for, or relevant to, your Membership and Program, including, but not limited to, your full name, date of birth, credit card information, your billing address, and your shipping information.
Genomic Life will provide you with a reasonable prior notice of any change in Direct Membership fees to give you an opportunity to terminate your Direct Membership before such change becomes effective. Genomic Life does not charge a fee for cancellations or terminations of your Direct Membership. All Direct Membership and Gift Membership fees are non-refundable, except as outlined in Section 13. Should you cancel your Direct Membership during the then-current annual term, your Direct Membership will remain available to you until the then-current term ends and will not automatically renew unless you decide to re-activate.
12. Payment; Subscriptions; Automatic Renewal
Genomic Life offers Direct Memberships (via self-pay or Gift Membership) with a minimum commitment of 12 months. By providing a credit card or other payment method accepted by Us ("Payment Method"), you are expressly agreeing that we are (or our service provider is) authorized to charge the Payment Method for the total amount of the fees associated with your use of the Platform, together with any applicable taxes (collectively, as applicable, a "Purchase"). If the Payment Method cannot be verified, is invalid or is otherwise not acceptable, your Purchase may be suspended or cancelled. You must resolve any payment method problems before we proceed with your Purchase. If a payment is not successfully settled and you do not edit your Payment Method information or cancel your Purchase or account, you remain responsible for any uncollected amounts and authorize us to continue billing the Payment Method, as it may be updated by you from time to time. You must provide Genomic Life with accurate and complete billing information including full name, address, state, ZIP code, telephone number. By submitting such payment information, you are authorizing Genomic Life to charge all Direct Membership fees incurred through your account to that Payment Method. For additional terms that apply to our Gift Membership options, please see our Gift Membership Terms, below.
Should automatic billing fail to occur for any reason you will not be charged and your Membership will not renew and will no longer be active. Should you fail to provide updated payment information or if billing fails and we do not hear from you, as stated above, your prior term will expire as of the expiration date. You will only be able to receive new access if you reactive your membership and provide accurate payment information. If you wish to terminate your Direct Membership after the initial 12-month period, please contact the Genomic Life Navigation Services Team.
Subscription terms, billing cadence, and cancellation deadlines will be disclosed at checkout or in your account. To avoid renewal charges, you must cancel before the disclosed cutoff time prior to the renewal date. We will notify you at least 30 days in advance of automatically charging your payment method for any subsequent renewal periods as required by law. Payments may be processed by third parties (e.g., Asperato). We do not store full payment card numbers.
We reserve the right to refuse or cancel orders at any time for any reason, such as errors in the description or order. We expressly reserve the right to refuse or cancel orders if fraud or an unauthorized or illegal transaction is suspected. You will be billed in advance on a recurring and periodic basis ("Billing Cycle"). Billing Cycles are set at the date of enrollment. At the end of each Billing Cycle, your Direct Membership will automatically renew under the exact same conditions unless cancelled by you or Genomic Life. You may cancel your Direct Membership renewal either through your online account management page or by contacting Genomic Life Navigation Services Team at the address provided in these Terms.
We do not guarantee that any amounts paid are eligible for reimbursement by insurance, HSA/FSA, or otherwise.
You understand and agree not to hold us liable for any adverse effect that actions (whether intentional or unintentional) may cause to any other accounts you hold. You agree to not process stolen cards or unauthorized cards through your account.
13. Refunds
You have the right to cancel your Direct Membership for a full refund within 72 hours of purchase by contacting us at Navigation@GenomicLife.com, so long as you have not received any services from us, including genetic testing services, during that time.
If you have an Employer-Offered Benefit Membership (whereby the terms and conditions of the Master Services Agreement/Scope of Work and other benefit documents must be followed), cancellation is subject to those terms as between Genomic Life and your Employer.

14. Promotions and Sweepstakes
From time to time, we may offer promotions, discounts, referral programs, or sweepstakes. Promotions may be subject to additional terms, eligibility rules, and official rules that are incorporated by reference. Unless prohibited, those additional terms will control in the event of a conflict with these Terms.
15. Gift Membership Terms
These Gift Membership Terms govern your access to and use of the Platform in connection with a "Gift Membership," defined as "a one-time prepayment for a one-year Genomic Life membership, intended for use by a third-party individual, that will not renew automatically." IF YOU ARE ACCESSING AND/OR MAKING USE OF OUR SERVICES AS A "SENDER (MEANING "A PERSON PURCHASING AND/OR GIVING A "GIFT MEMBERSHIP") AND/OR A "RECIPIENT," (MEANING "A PERSON WHO HAS RECEIVED AND WISHES TO MAKE USE OF A GIFT MEMBERSHIP"), YOU REPRESENT THAT YOU FULLY UNDERSTAND AND AGREE TO BE UNCONDITIONALLY BOUND TO THESE GIFT MEMBERSHIP TERMS IN THEIR ENTIRETY, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.
Except where prohibited by applicable law or as otherwise provided for in these Terms, except as outlined in Section 13, all Gift Membership purchases are final. Sender will have the right to cancel their Gift Membership order 72 hours after placing such order. After this 72-hour window has passed, the sale will be final.
If you are acting as a Sender, you represent that you are eligible to access our Platform and that you shall provide the correct full name and contact information of the Recipient. You are solely responsible for the accuracy and completeness of the information you provide to us.
As a Sender, you understand that our Platform is not intended for use by all persons, and not all persons are eligible to use our services; as a Sender, you are responsible for confirming, to the best of your knowledge, that the Recipient meets the minimum eligibility requirements to use our Platform. Among other requirements, your Recipient must be 18 years of age or older and located in the United States to be eligible for services, as outlined under these Terms.
Redemption of a Gift Membership by Recipient requires attestation and acceptance of these Terms and our Policies
You acknowledge and agree that, to facilitate the Gift Membership, we will not disclose to Sender any Lab Results, health information, further health-related activities, or other health or demographic information of said Recipient.
A Gift Membership – including any one-time use access code enabling access to a Gift Membership – is not transferrable, has no resale value and is not redeemable for cash. We are not responsible for lost Gift Memberships or access codes.
Unless otherwise expressly stated in writing, the Gift Membership will terminate at the end of the one-year subscription period, and any renewal is subject to the Recipient agreeing to and supplying payment information to continue their membership, as outlined in these Terms, at the then-current regular retail price. We may deactivate or limit use of unredeemed Gift Memberships to the fullest extent allowed by applicable law and these Terms.
We reserve the right, in our sole discretion and to the fullest extent permitted by applicable law, to refuse, cancel, suspend, or revoke any Gift Membership or related access to the Platform or services as permitted by these Terms and/or these Gift Membership Terms, including but not limited to if: (a) payment is refused, reversed, or charged back; (b) we reasonably suspect fraud, abuse, or misuse of the Gift Membership or the Services.
16. Termination
We have the right to terminate or suspend your access to all or part of the Platform at any time for any reason without notice. Genomic Life may terminate or suspend any of the rights granted by these Terms and your access to and use of the Platform with or without prior notice, for any reason, and at any time, including for violations of these Terms. The following provisions, and any other provision which by its nature should survive termination, will survive the expiration or termination of these Terms for any reason whatsoever: Disclaimer of Warranties; Limitation of Liability; Indemnification; Governing Law and Dispute Resolution.
17. Links from the Platform
If the Platform contains links to third-party sites or resources, these links are provided for your convenience only. We do not control or endorse these third-party sites or resources and accept no responsibility for them or for any loss or damage that may arise from your use of them. If you decide to access any of the third-party Platforms linked to the Platform, you do so entirely at your own risk and subject to the terms and conditions of use for such Platforms.
18. Disclaimer of Warranties
THE PLATFORM AND THE INFORMATION AND CONTENT ON THE PLATFORM IS PROVIDED ON AN "AS IS," "AS AVAILABLE" BASIS. YOU AGREE THAT YOUR USE OF THE PLATFORM IS AT YOUR SOLE RISK. Genomic Life, ITS AFFILIATES, AND ITS OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, AND DIRECTORS DISCLAIM ALL WARRANTIES OF ANY KIND, INCLUDING BUT NOT LIMITED TO ANY EXPRESS WARRANTIES, STATUTORY WARRANTIES, AND ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. TO THE EXTENT YOUR JURISDICTION DOES NOT ALLOW LIMITATIONS ON WARRANTIES, THIS LIMITATION MAY NOT APPLY TO YOU. IF THIS IS THE CASE, YOUR SOLE AND EXCLUSIVE REMEDY RELATING TO YOUR USE OF THE PLATFORM SHALL BE TO DISCONTINUE USING THE PLATFORM.
19. Limitation on Liability
TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENT WILL GENOMIC LIFE, ITS AFFILIATES, OR ITS OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL (INCLUDING DAMAGES FROM LOSS OF BUSINESS, LOST PROFITS, LITIGATION, OR THE LIKE), SPECIAL, EXEMPLARY, PUNITIVE, OR OTHER DAMAGES, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE PLATFORM, ANY PLATFORMS LINKED TO IT, ANY CONTENT ON THE PLATFORM OR SUCH OTHER PLATFORMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. YOUR SOLE REMEDY FOR DISSATISFACTION WITH THE PLATFORM AND/OR CONTENT SHALL BE TO DISCONTINUE USING THE PLATFORM.
IN NO EVENT SHALL GENOMIC LIFE OR ITS RELATED PERSONS' TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION (WHETHER IN CONTRACT, TORT (INCLUDING, BUT NOT LIMITED TO, NEGLIGENCE), OR OTHERWISE) EXCEED IN THE AGGREGATE, THE GREATER OF (I) ONE HUNDRED DOLLARS ($100), OR (II) THE AMOUNT PAID BY YOU, IF ANY, FOR ACCESSING THE PLATFORM IN THE TWELVE (12) MONTH PERIOD PRECEDING THIS APPLICABLE CLAIM.
CERTAIN JURISDICTIONS DO NOT PERMIT THE EXCLUSION OF CERTAIN WARRANTIES OR LIMITATION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, WHICH MEANS THAT SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IN THESE JURISDICTIONS, THE FOREGOING EXCLUSIONS AND LIMITATIONS WILL BE ENFORCED TO THE GREATEST EXTENT PERMITTED BY APPLICABLE LAW.
IF YOU ARE A CALIFORNIA RESIDENT, YOU WAIVE CALIFORNIA CIVIL CODE SECTION 1542, WHICH PROVIDES: A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS THAT THE CREDITOR OR RELEASING PARTY DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE AND THAT, IF KNOWN BY HIM OR HER, WOULD HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR OR RELEASED PARTY.
20. Indemnification
You agree to defend, indemnify, and hold harmless Genomic Life its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Platform, including any use of the Platform's content, services, and products other than as expressly authorized in these Terms, or your use of any information obtained from the Platform. Genomic Life reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify Genomic Life, and you agree to cooperate with Genomic Life's defense of these claims. You agree not to settle any matter without Genomic Life's prior written consent. Genomic Life will use reasonable efforts to notify you of any such claim, action or proceeding upon becoming aware of it.
21. Governing Law and Jurisdiction
You agree that the laws of the State of Delaware will govern these Terms and any dispute that may arise between you and Genomic Life or its affiliates related to your use of the Platform, without regard to conflicts of law provisions.
22. Dispute Resolution
You and we both agree to provide written notice of any disputes to the other party and try to resolve any disputes informally in good faith arising from your use of the Platform. If any dispute is not resolved within 30 days of a party providing notice to the other party, the dispute will be resolved through individual, non-representative, binding arbitration conducted in English, instead of a proceeding in courts of general jurisdiction. Any disputes will be decided by a single arbitrator and will be administered by Judicial Arbitration Mediation Services, Inc. ("JAMS") pursuant to the JAMS Streamlined Arbitration Rules & Procedures and as modified by this agreement to arbitrate. The arbitrator will conduct hearings, if any, by teleconference or videoconference, rather than by personal appearances, unless the arbitrator determines upon your or our request that an in-person hearing is appropriate. Any in-person appearances will be held in Wilmington, Delaware. The arbitrator will have authority to award temporary, interim, or permanent injunctive relief or relief providing for specific performance, but only to the extent necessary to provide relief warranted by the individual claim before the arbitrator. The award rendered by the arbitrator may be confirmed and enforced in any court with appropriate jurisdiction. Each party will be responsible for its respective costs, including costs related to its respective attorneys, experts, and witnesses.
ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS MUST BE COMMENCED WITHIN ONE YEAR AFTER THE CAUSE OF ACTION ACCRUES. OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.
YOU AND WE EXPRESSLY WAIVE THE RIGHT TO GO TO COURT, TO A TRIAL BY JURY, AND TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR OTHER REPRESENTATIVE PROCEEDING WITH RESPECT TO ANY CLAIM SUBJECT TO ARBITRATION. NOTWITHSTANDING THE PARTIES' DECISION TO RESOLVE ALL DISPUTES THROUGH ARBITRATION, WE MAY BRING AN ACTION IN A STATE OR FEDERAL COURT TO PROTECT OUR INTELLECTUAL PROPERTY RIGHTS. SEEKING SUCH RELIEF SHALL NOT WAIVE OUR RIGHT TO ARBITRATION UNDER THESE TERMS.
23. Waiver and Severability
No waiver by us of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure by us to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of these Terms will continue in full force and effect.
24. Geographic Restrictions
Genomic Life is based in the United States and services are only available to individuals residing in the United States. Access to the Platform may not be available in certain countries. If you access the Platform from outside the United States, you do so on your own initiative and are responsible for compliance with local laws.
25. Entire Agreement
These Terms constitute the sole and entire agreement between you and Genomic Life regarding the Platform and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Platform.
